Application and Interpretation:
These Terms and Conditions govern the purchase of goods from Blue City Roasters as detailed in our quotation. Blue City Roasters is a registered company in the Netherlands (Registration number: 77645073) with its registered office at Blue City Roasters, Torenstraat 6, 9671 EE, Winschoten, The Netherlands. By placing an order or accepting purchased goods, you are deemed to have agreed to be bound by these terms.
A business day refers to any day between 09:00 and 17:00, excluding Saturdays, Sundays, international holidays, or holidays in the Netherlands. The headings in these Terms and Conditions are for convenience only and do not affect their interpretation. Singular and plural forms are interchangeable.
Goods:
The Goods are described in our sales documentation, unless expressly changed in our quotation. By accepting the quotation, you acknowledge that you have not relied on any statements, promises, or representations about the Goods by us. Descriptions in our sales documentation are intended as a guide only. We may make changes to the Goods' specifications to comply with safety or statutory requirements.
Price:
The Price of the Goods is set out in our quotation at the time of your order, or as otherwise agreed in writing. We reserve the right to increase the Price if factors beyond our control, such as material costs, labor costs, exchange rates, duties, or delivery rates, affect the cost of the Goods. Any price increases will be communicated to you, and discounts, if applicable, will be at our discretion. The Price excludes packaging and transportation/delivery fees unless otherwise agreed. It is also exclusive of any applicable VAT, taxes, or levies imposed by competent authorities.
Cancellation and Alteration:
Goods described in our sales documentation are subject to alteration without notice and do not constitute a contractual offer until accepted. The validity of the quotation, including any negotiated non-standard price, is 30 days from the date shown unless withdrawn earlier by us. Either party can cancel the order before your acceptance or rejection of the quotation. Webshop orders can only be canceled before shipping.
Payment:
You must pay the Price according to the date specified on our invoice or as per agreed credit terms. Payment is required even if delivery has not taken place, and title in the Goods has not passed to you. Both parties must pay the full amounts due without any deductions or withholdings, except as required by law. Credit, set-off, or counterclaims are not valid justifications for withholding payment.
Delivery:
We will arrange for the delivery of the Goods to the address specified in the quotation or another agreed location. Delivery can take place at any time between 8 am and 8 pm, subject to specific terms of any special delivery service. Failure to accept delivery allows us to store the Goods at your expense or make arrangements for redelivery, charging you for the associated costs. We are not liable for delivery delays caused by circumstances beyond our control or your failure to provide adequate instructions. Delivery to pickup points or temporary addresses is at your own risk.
Inspection and Acceptance of Goods:
You must inspect the Goods upon delivery or collection. Damages or shortages must be reported in writing within 14 days of delivery. Returned Goods are only accepted if they are defective and have been inspected, as per our agreement. If compliant, you may destroy the Goods at your expense, and we will replace or refund them accordingly. We are not liable if you fail to provide notice, continue to use damaged Goods, fail to follow storage or usage instructions, or the defect results from wear and tear, misuse, or third-party acts. Acceptance of the Goods is deemed after inspection within 14 days of delivery.
Risk and Title:
Risk in the Goods passes to you upon completion of delivery, while title remains with us until full payment (in cash or cleared funds) is received for the Goods and any other goods or services provided to you. Until title passes, you must hold the Goods on a fiduciary basis, store them separately, and maintain their condition and insurance. If the Goods are not resold or incorporated into another product, we can request their delivery and recover them if necessary.
Limitation of Liability:
Our liability is limited to the clause specified in the Contract. If we fail to deliver the Goods, our liability is limited to the costs and expenses you incur in obtaining replacement goods of similar quality, less the price of the Goods. Our total liability will not exceed the total Price you have paid. We are not liable for indirect or consequential losses, loss of profits, business interruption, or losses resulting from events beyond our control or your failure to fulfill obligations. Liability exclusions do not apply to death or personal injury caused by our negligence, illegal matters, or fraud.
Communications:
All notices must be in writing, signed by the party giving notice, or their authorized officer. Notices are deemed duly given when delivered by courier during recipient's business hours, sent via fax or email with successful transmission, or received five business days after national ordinary mail or ten business days after airmail. Notices should be addressed to the most recent address, email address, or fax number provided by the other party.
Circumstances Beyond Control:
Neither party is liable for failures or delays in performance due to causes beyond their reasonable control. These causes include power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action, or any other events beyond the party's control.
No Waiver:
No waiver by us of any breach of these Terms and Conditions shall be considered a waiver of any subsequent breach.
Severance:
If any provision of these Terms and Conditions is found unlawful, invalid, or unenforceable, such provision(s) shall be severed while the remaining provisions remain valid and enforceable.
